Our Team


JunHe’s real estate and construction team is composed of more than 30 lawyers, including over 10 partners and counsels who work from our Beijing, Shanghai, Guangzhou and Shenzhen offices. Many of our lawyers are internationally educated and have significant experience in the real estate and construction industries from working with reputable global law firms and multinational companies. They also include locally trained professionals with experience and expertise in representing clients in several complex real estate projects.

Recent Representative Cases

  • Acquisition by Gaw Capital Partners of Pacific Century Place. JunHe represented Gaw Capital Partners, a private equity real estate fund, in its indirect acquisition of Pacific Century Place, a Beijing landmark, as well as its China onshore project company, by acquiring a 100% equity interest in its offshore holding company. The transaction price amounted to over USD 900 million. JunHe was involved throughout the transaction process acting as the sole onshore legal counsel. The firm conducted due diligence investigations on the project company and the property of Pacific Century Place, participated in negotiations, drafted transaction documents, assisted in closing and provided several other legal services.


  • Sale of SKY SOHO to Ctrip. JunHe provided SOHO with legal services in its sale to Ctrip of SKY SOHO property located at Hongqiao, Shanghai with a total area of 90,000 square meters, along with the leasing of adjacent properties with an area of approximately 8,700 square meters. Services provided included drafting, reviewing and negotiating framework documents, sales contracts, deeds of mutual covenant, preliminary property service contracts and parking lot use agreements and assisting in title transfer formalities. The transaction price was over RMB 3 billion. 


  • Chow Tai Fook’s acquisition of a series of onshore properties. JunHe represented Chow Tai Fook in multiple investment and acquisition projects in China (with a total transaction amount over RMB 6 million), including acquiring the Four Seasons Hotel property in Puxi, Shanghai, the Business-Residence-Office Complex in Huangdao, Qingdao and the residential property in Shanghai. JunHe provided a range of legal services to Chow Tai Fook including due diligence investigations, designing transaction structures, drafting and negotiating relevant transaction documents and assisting in closing.


  • Sale of Huangpu Binjiang Business-Residence-Office Complex. JunHe represented the company controlled by Mr. Du Huikai, vice-chairman of New World China Land, in its sale of two residential projects and seven commercial projects to a joint venture established between SUNAC China and Greentown China. The transaction value was approximately RMB 9 billion. JunHe was involved in all aspects of the project and services provided included designing the transaction structure, drafting and negotiating the transaction documents and assisting in closing.


  • Acquisition of onshore real estate properties by Morgan Stanley. JunHe represented Morgan Stanley Real Estate Investment Fund in its investment and acquisition of real estate properties in multiple cities in China (including Haikou, Bengbu, Haining, Zhangjiagang, Wuxi, Qidong, Wujiang, Nanjing, Jiangyin, Zhengzhou, Xuzhou and Huzhou). Services provided included due diligence investigations, designing transaction structures, drafting and negotiating transaction documents and assisting in closing.


  • Construction of an ethylene-propylene rubber factory with a capacity of 50,000 tons per year of a Ningbo subsidiary of SK Group. JunHe represented Ningbo SK Performance Rubber Co., Ltd., a wholly owned SK subsidiary in Ningbo, in its investment and construction of an ethylene-propylene rubber factory with a capacity of 50,000 tons per year. Services provided included drafting, reviewing, negotiating and revising tendering documents and EPC contracts. It also included reviewing and revising ancillary contracts such as relevant technical service agreements and supervision contract.
