JunHe Assists Argyle Hotel Group in Securing Investment from CTG Hotels

On June 25, 2025, Argyle Hotel Management Group (Australia) announced that it had secured strategic investment from China Travel Service Hotels Holdings (CTG Hotels). This collaboration is a powerful alliance between a state-owned enterprise and an international hotel group to achieve strategic synergy and compliment resources.


Founded in 2002, Argyle Hotel Group entered the Chinese market in 2005. After more than two decades, it has grown into one of the world's top 50 hotel enterprises, with projects in 200 cities. The group operates 13 premium and mid-tier hotel brands, namely Argyle Grand Hotel, Argyle Boutique Hotel, Argyle Resort, Argyle Hotel, Argyle Party Hotel, Argyle Serviced Residences, Argyle Viviton Suites, Wotso Hotel, Argyle Wotso Hotel, Wotso Select Hotel, Wotso Serviced Residences, Wotso WOW Hotel and Metro Hotel. Guided by its philosophy of 'Viewing the World with Elegance', the group provides comprehensive hotel and resort management services to global property owners. As a wholly-owned subsidiary of China Travel Service Group, CTG Hotels operates a network covering over 30 countries and regions, representing China's sole central state-owned tourism enterprise.


JunHe acted as the legal counsel for Argyle Hotel Group in this project and provided comprehensive legal services for the transaction. The JunHe team was deeply involved in communicating with and screening potential buyers. We demonstrated and formulated the transaction structure and plans, drafted, reviewed, and revised the transaction documents and negotiated and drafted resolutions related to the transaction, as well as signing the supporting documents.


The complexity and challenges of this project included:


1. Complex transaction procedures: The project involved both domestic and international entities, with divergent interests and compliance requirements, making the transaction arrangements highly complex. The JunHe team assisted in designing the transaction flow and timeline, clarifying the rights and obligations of all parties to ensure the smooth progress of each stage.


2. Different regulatory requirements: The transaction counterparties included foreign companies and state-owned enterprises. To ensure full compliance,  JunHe's team carefully considered the regulatory framework applicable to the foreign companies as well as the state-owned asset supervision requirements for central SOEs when designing the transaction terms and procedures. 


3. Comprehensive coordination needs: The target company operated across multiple jurisdictions, including Beijing, Guangzhou and Hong Kong, necessitating the thorough consideration of the varying legal, tax and regulatory environments in structuring the transaction.


While safeguarding the client's interests, the JunHe team carefully managed the negotiation dynamics and addressed the demands of all parties, providing strategic advice at critical moments. Leveraging our efficient and professional service approach, we assisted the client in completing the project's successful signing and delivery, earning high praise from the client.
