CUI, Jiakun (Kevin): Expert in Full Lifecycle Fund Services
Mr. Jiakun (Kevin) Cui possesses extensive expertise across the entire lifecycle of fund operations, including fundraising, investment, management and exit. His practice extends to complex corporate investment, financing, and merger and acquisition transactions. Mr. Cui regularly participates in system design and legislative discussions in private equity and asset management in China.
Notable Engagements: Mr. Cui has spearheaded significant mandates in the past 12 months, including advising on the restructuring transaction of a leading global fast-food chain, a strategic RMB 5 billion investment in a prominent aircraft engine company, Hollysys’ USD 1.66 billion take-private, and the formation of the National Integrated Circuit Industry Investment Fund Phase III, which is China’s largest industrial fund.
Liu Jin: Cross-Border Financing and M&A Legal Expert in the Greater Bay Area
Mr. Liu Jin focuses on banking and finance, general corporate, and M&A practices. He has advised on numerous cross-border financing, investment, and M&A transactions, as well as asset restructuring projects for publicly listed companies.
Notable Engagements: In recent years, Mr. Liu has handled several projects distinguished by their market impact or significant transaction value, such as the refinancing of the acquisition loan for China Merchants Commercial REIT, the refinancing of an acquisition loan for Infore Group, Vanke's acquisition of Huanshan Group, the comprehensive transfer of Shenzhen Jiajinlong Auto City, and a conversion and joint venture project involving a provincial inspection and testing institution.
LIU, Zhen: Versatile Dispute Resolution Lawyer Specializing in International Disputes and Multilateral Development Bank Compliance
Specializing in dispute resolution and regulatory compliance, Mr. Liu has extensive practical experience in domestic and foreign litigation/arbitration, government supervision, compliance investigation, multilateral development bank (MDB) compliance and construction engineering.
Notable Engagements:Mr. Liu has led and significantly contributed to two of JunHe's top ten representative dispute resolution projects commemorating its 35th anniversary, including representing a foreign company in a shareholder derivative litigation and assisting in resolving a compliance crisis for a project funded by the Asian Development Bank. Several of his cases have been recognized as landmark cases by the Supreme People's Court and featured on other major case lists. In 2024, Mr. Liu helped a major engineering company successfully mitigate and secure the early lifting of ADB sanctions. He also served as an independent compliance monitor recognized by the ADB to guide a subsidiary of a central enterprise toward achieving early reinstatement, and advised a client in being recognized as a World Bank Compliance Knowledge Sharing Platform model compliance enterprise.
NIU, Yuandong: Capital Markets Expert, and Skilled in Biopharmaceutical and Key & Core Technology IPOs
Mr. Niu Yuandong is a recognized expert in securities and capital markets, with substantial proficiency in private equity investment and financing, M&A restructuring, onshore and offshore IPOs, and refinancing. He has extensive project experience in red-chip restructuring and financing, PIPE investments, and M&A activities involving publicly listed companies.
Notable Engagements: Mr. Niu has spearheaded several significant capital markets projects such as the Hong Kong listing of AIM Vaccine, which is the largest private vaccine group in China; the Hong Kong listing of CALB, marking it as the first publicly traded power battery company; the IPO of Amlogic, notable as the first company to receive approval for its STAR Market IPO application; and the IPOs of InventisBio and Zelgen.
SHI, Libin: Cross-Border Legal Services Expert, Facilitating Billions in Overseas Investments by Chinese Enterprises
Ms. Shi Libin is an expert in corporate and securities law. She has extensive experience in cross-border capital market transactions, including offshore bonds, equity-linked securities, and regulatory capital instruments.
Notable Engagements: Ms. Shi has served as the lead international legal counsel for issuers in several significant transactions, such as the update and note issuance under a USD10 billion medium-term note program of the Bank of Communications Financial Leasing and the issuance of lotus bonds by Zhuhai Rural Commercial Bank. She also provides legal advice to various financial institutions such as the Hangzhou Bank and the Bank of Dalian regarding their cross-border business.
ZHAO, Hao (Gerry): Biopharmaceutical Legal Navigator — Expert in Cross-Border Transactions of Cutting-Edge Technologies, Fostering Global Innovative Drug and Medical Device Collaborations
Mr. Zhao’s practice includes patent prosecution and intellectual property related transactional matters. He is skilled in navigating cross-border technology transactions in the pharmaceutical, biotechnology, and medical device sectors.
Notable Engagements: Mr. Zhao has led and managed numerous significant transactions such as the licensing deal between Nona Biosciences and Candid, the NewCo transaction between Genor Biopharma and TRC2004, the licensing deal between ImmuneOnco and Instil Bio, the product and platform collaboration between Elpiscience and Astellas, and the platform collaboration between MediLink Therapeutics and BioNTech.
