With nearly 30 years of legal experience, Mr. Zhou concentrates his practice on foreign direct investment, cross-border mergers and acquisitions, private equity and venture capital transactions, as well as regulatory compliance and data security matters. He regularly advises multinational corporations (from Fortune 500 to SMEs) and non-governmental organizations across diverse industries—including technology, automotive, aviation, media and entertainment, semiconductors, healthcare and life sciences, banking and financial services, publishing, manufacturing, consumer products, and professional services—on their strategic expansion, investments, and business operations throughout China and Asia.
Mr. Zhou also advises leading Chinese companies on outbound investments, cross-border mergers and acquisitions, and strategic alliances across global markets including the United States, Europe, and other key jurisdictions. He is also familiar with regulatory matters impacting international trade and investment, including CFIUS reviews, export controls, and economic sanctions.
Prior to joining JunHe, Mr. Zhou was a partner in the transactional and regulatory group at Wilmer Cutler Pickering Hale and Dorr LLP. Earlier in his career, he practiced corporate law at Paul, Weiss, Rifkind, Wharton & Garrison LLP, working in its New York, Hong Kong and China offices.
Professional Activities
Mr. Zhou serves on the Board of Governors of the American Chamber of Commerce in China (AmCham China), where he previously held positions as General Counsel and Board member. He also serves as Co-Chair of the Financial Services and Insurance Committee and Chair of the Outbound Investment Sub-Committee.
Publications
Mr. Zhou authored the "Business Organization" chapter in Business Law in China: Trade, Investment, Operations and Finance (ICC Publication No. 672, 2nd revised edition). He has written multiple chapters including the "Investment Policy" chapter for AmCham China's Annual White Paper. His scholarly work appears regularly in publications by Wolters Kluwer and Oxford University Press, as well as in prominent legal journals such as China Law & Practice, Asia Pacific Antitrust and Trade Review, and Global Competition Review, among others. These publications address critical legal and commercial topics spanning cross-border M&A, corporate restructuring, private equity/venture capital investments, foreign direct investment in China, data compliance, and regulatory/tax matters.
Mr. Zhou was interviewed and spoke at various events organized by CNN, Bloomberg, CCTV, The American Lawyer, Cai Jing Magazine, South China Morning Post, AmCham China, European Union Chamber of Commerce, The US-China Business Council, Asia Foundation, United States Information Technology Office and others on a variety of topics including cross-border M&A, FDI, outbound investments, VIE structures, cross-border data transfer and national security review.
