Ms. Chen is a counsel at JunHe and is based in our Guangzhou office. She specializes in capital markets and M&A related work and has extensive experience in the practice, with an emphasis on equity investment and financing and M&A transactions.
Ms. Chen has played a key role in a number of projects involving the issuance and listing of A-shares, red chips and H-shares, various types of bond issuance and asset securitization, and has advised on numerous transactions for listed companies including but not limited to regulatory compliance, re-financing, major assets restructuring, acquisition, spin-off listing and privatization. She has provided legal services to clients in a wide range of industries, such as new energy, biomedicine, TMT, retailing, FinTech, financial institutions, real estate and manufacturing.
With over 14 years of experience working in capital markets, Ms. Chen has acquired solid experience and comprehensive understanding in equity investment and financing and M&A transactions and is well versed in corporate control, equity strategy arrangement, equity incentives and their adjustments, management buyout, corporate governance, risk prevention for the actual controller, and equity financing. She has advised on dozens of significant and complex equity incentive projects, such as equity incentives in state-owned enterprises, employee incentive financing, adjusting incentive plans in M&A/privatization, coordinating incentive plans at home and abroad, designing and implementing incentive plans in the early stages, and combining multiple incentive models.
Ms. Chen has in-depth knowledge and extensive experience in deal structuring, document drafting, negotiation and legal opinion issuance. She has sufficient project management experience, excellent communication skills, and a solid understanding in operation logic of capital market, M&A, and equity transactions. She prioritizes clients' business objectives and needs and can provide clients with legitimate and feasible solutions while taking Chinese policy requirements and actual practice conditions into account.
