On January 4, 2024, Golden Line Vision (金线视野) announced the winners of its Fourth Golden Line Awards 2023. JunHe won the Golden Line Non-Litigation Impact Award - Capital Markets and Investment & Financing in the deal category and the Golden Line Legal Technology and AI Application Award.

Initiated by Gaoshan LEGAL and Wolters Kluwer and organized by Golden Line Vision, the Golden Line Awards were launched by China’s legal community and practitioners. The winners were selected by professors from the law schools of top universities in China, management of law associations, and general counsels of large enterprises.

Golden Line Non-Litigation Impact Award - Capital Markets and Investment & Financing: JunHe Advised Atour on its IPO on the Nasdaq

On November 11, 2022, Atour Lifestyle Holdings Limited (“Atour”) successfully completed its IPO on the Nasdaq, the first IPO in China’s new lodging economy. Atour issued 4.75 million American Depositary Shares (ADSs) at a price of USD 11 per ADS, with the scale of over-allotment not exceeding 712,500 ADSs. The total amount raised was USD 60.1 million (if the over-allotment options are exercised in full). This was the first Chinese IPO to issue ADSs in the United States since mid-2021 with a valuation of approximately USD 1.5 billion and was deemed an ice-breaking U.S. IPO for Chinese enterprises. Since 2020, JunHe has acted as the issuer’s domestic legal counsel for this project. Against a backdrop of major changes in the regulatory environment, JunHe’s team adjusted their work plan and resource allocation based on the latest developments, and provided comprehensive, high-quality and efficient legal services for the issuer. They assisted in the cross-border restructuring of Atour, the establishment of the overseas listing structure, the equity transfer, the resolution of potential disputes, the data compliance and cybersecurity review and communicated with the domestic and overseas securities regulatory authorities.

Following its IPO on the Nasdaq, Atour completed two consecutive secondary offerings of ADSs in June and December 2023 (in an aggregate amount of approximately USD 260 million, all of which were held by Legend Capital). JunHe acted as the PRC legal counsel to both Legend Capital and Atour in these transactions. By conducting the legal due diligence in China, drafting the legal opinions and providing other comprehensive, high-quality and efficient legal services to the relevant parties, JunHe’s team assisted the clients in successfully completing the transactions.

Golden Line Legal Technology and AI Application Award: JHKMS
