On May 13, 2026, Nanjing Impact Therapeutics Co., Ltd. (Impact Therapeutics, stock code: 7630.HK) was listed on the main board of the Hong Kong Stock Exchange. The company issued 41,977,000 H shares globally, priced at HKD 20.10 per share, raising approximately HKD 843.7 million (the issuance volume is still subject to a 15% over-allotment option). JunHe served as Impact Therapeutics' domestic and China-US patent lawyer and provided comprehensive legal services for the company's Hong Kong listing.
Founded in 2009, Impact Therapeutics is a biotechnology company in the commercialization stage, dedicated to advancing cancer therapies based on synthetic lethality. Its R&D pipeline includes one commercial-stage drug, four clinical-stage candidate drugs and seven preclinical candidate drugs. In January 2025, Impact Therapeutics' core product, Senaparib, was approved in China for the first-line maintenance treatment of ovarian cancer and it was subsequently launched commercially.
JunHe has been serving as Impact Therapeutics' legal advisor since 2021, providing comprehensive legal services in areas such as structural reorganization, private financing, Hong Kong IPOs, intellectual property and other ongoing legal work in China and the US. This includes: (1) As financing lawyers, JunHe provided the restructuring plan for the company's red-chip structure dismantling and assisted in the dismantling process; participated in the drafting, negotiating, signing and closing of the financing transaction documents, assisting the company in completing D+ and D++ rounds of private financing; (2) As the domestic lawyer for the Hong Kong IPO, JunHe assisted Impact Therapeutics in its restructuring to establish a joint-stock company, issued Chinese legal opinions, drafted, reviewed and revised the application and issuance documents related to the listing, and prepared the full set of application documents for the overseas listing filing with the China Securities Regulatory Commission (CSRC). They also assisted in responding to feedback from the CSRC, the Hong Kong Securities and Futures Commission (SFC) and the Hong Kong Stock Exchange regarding the listing application; (3) As the China and US patent advisors, JunHe provided consulting opinions on patent matters related to the Hong Kong IPO and issued due diligence reports and legal opinions; (4) As ongoing legal advisors in China and the US, JunHe assisted the company in formulating equity incentive plans for employees in China and the US and provided legal consulting services for daily operations.
LI, Chenliang, WANG, Juewei (Jewel) and QIAN, Yiqian were responsible for Impact Therapeutics' Hong Kong IPO and private financing. JunHe partner WANG, Zhaohui (Zoe) and consultant HE, Zheng (Crystal) were responsible for the patent matters related to the Hong Kong IPO and the internal core partner was LI, Zhi.
