On September 25, 2024, GPTX Financial Products Limited ("GPTX") established a structured note platform in Hong Kong and issued USD 256 million medium term notes (“MTNs”). On October 15, 2024, GPTX completed the closing of its first HKD 80 million 3-year 5.0% unsecured notes. In the platform establishment and note issuance, GPTX Investment Management Limited ("GPTXIM") acted as the underwriter and China CITIC Bank International Limited as the trustee.
Incorporated on November 24, 2022, GPTXIM is an innovative financial service provider focusing on traditional and virtual asset management. It holds licenses for Type 1 (dealing in securities), Type 4 (advising on securities) and Type 9 (asset management) issued by the Securities and Futures Commission of Hong Kong (“SFC”). With its forward-looking and innovation-driven investment strategies and digital management platform, GPTXIM explores investment opportunities in Web 2.0 and Web 3.0 by integrating AI and big data technologies and provides global clients with customized investment solutions that balance wealth growth and risk management. The note issuance marks an important step for GPTXIM towards the international capital market, which has further consolidated its leading position in the industry and demonstrated its firm commitment to financial innovation and market expansion.
Given the tight schedule in the project, the JunHe team, as the international legal counsel to the underwriter and the legal counsel to the trustee, participated in the entire process from the initial structuring to the final closing, and showcased its quick response and outstanding execution. The JunHe team acting as the international legal counsel to the underwriter drafted the entire set of transaction documents, negotiated and amended the transaction documents, issued overseas legal opinions, and advised on relevant legal issues involved in the project. The JunHe team acting as the legal counsel to the trustee assisted it in reviewing the transaction documents and related legal opinions. By working closely with each other, the two teams overcame the challenges of time and complexity with their efficient, rigorous, and professional legal services, enabling the successful closing of the project within the planned timeframe. The JunHe team earned high recognition and trust from GPTXIM and other intermediaries for their exceptional performance in the project.
This project makes JunHe one of the few law firms having provided comprehensive legal services for the establishment of structured note platforms.
