JunHe recently partnered with the global one-stop Web5 wealth technology platform, Finloop Fintech Holdings Limited (Finloop Technology), to assist Vobile Group Limited (03738.HK) in launching the world's first film copyright cash flow tokenization (RWA) project—V-IP Rights On-chain Private Note I (VIPR). In the form of tokenized private placement notes, this project has an issuance scale of USD 100 million and is open for subscription to global investors under compliance. It received millions of dollars in institutional investor subscriptions on the day of issuance.
The underlying assets of this project are the future real income cash flows generated from the distribution of film copyright content on global streaming platforms (such as YouTube and Facebook) and other channels. The project integrates Vobile Group's technical rights and monitoring capabilities, Finloop Technology's innovative fintech and digital operations, and JunHe's comprehensive legal support. With the joint empowerment of the three parties, the originally non-standard, closed and singular film copyright revenues have been transformed into standardized, transparent and transferable diversified digital assets, significantly enhancing the overall risk resistance of the assets. On the technical and compliance levels, the project supports multi-chain deployment such as Solana and Ethereum and also achieves efficient circulation in the secondary market under a compliant framework. This is a milestone in global digital content assets in traditional finance and securities tokenization, marking another important step forward by Vobile Group, Finloop Technology and JunHe in the digitalization of traditional financial assets and fintech compliance.
Finloop Technology, as the Tokenization Agent and core technology support provider, built a secure and robust tokenization technology foundation for the note issuer and relied on its independently developed digital and intelligent technology platform to provide the issuer with a full set of on-chain intelligent technology compliance solutions. It offered comprehensive technical support for the smooth progress of the project. The issuer of the project was a newly established special purpose vehicle (SPV) in the British Virgin Islands (BVI). By integrating blockchain technology with traditional private placement notes, this project connected dormant film copyrights to the capital market. According to the plan, VIPR will further expand its international liquidity sources through compliant deployment in Hong Kong and other overseas markets, providing diverse and efficient asset allocation options for professional investors and institutional clients.
JunHe was responsible for the legal services related to the issuance of the tokenized notes in this project. We provided the compliance framework design, drafted, reviewed and refined the core legal documents such as the note terms, the issuance agreements, the blockchain dealer and agency agreements and promoted the compliant issuance of the product under the existing regulatory framework. Upholding standards of professionalism, rigor and efficiency, JunHe participated in the entire process of the project. When facing multiple challenges such as cross-jurisdictional risk control coordination and product structure innovation, the team demonstrated strong problem-solving capabilities and provided meticulous legal assurance for the project's smooth approval and stable operation. In recent years, JunHe has had experience integrating digital assets with traditional capital markets, providing legal support for multiple tokenized bonds, funds and structured product projects. This collaboration with Finloop Technology to assist Vobile Group in completing the issuance of digital asset tokenized notes is an important milestone for JunHe in the field of tokenized debt financing instruments, and it reflects our leading advantages in providing securities tokenization legal services.
