One-stop Legal Services
JunHe’s Chengdu office pools practical knowledge and resources in various areas of practice and jurisdictions. Sometimes there is a need to coordinate with a third-party law firm. Benefiting from JunHe’s integrated resources and client sharing capabilities, our Chengdu office can provide a full chain of one-stop legal services for clients. This may require an internal collaborative effort, or for JunHe to act as the leading counsel and to coordinate teams from different law firms to provide legal services.
As the counsel to the issuer, we have advised multiple enterprises on their stock listings. We assisted HitGen to become the first company to be listed on the SSE STAR Market in Southwest China, assisted Hinova to become the first pharmaceutical company on new therapeutics in Southwest China to be listed under the fifth set of listing standards, and assisted Sichuan Biokin Pharmaceutical, a biopharmaceutical enterprise integrating drug R&D, production and marketing, in its IPO on the SSE STAR Market.
We represented a fund in Shenzhen engaged in asset management and equity investment in its dispute with an actual controller of a Sichuan company, over the valuation adjustment mechanism between them. We used pre-litigation property preservation measures and evidence preservation measures against the counterparty, and successfully recollected the principal and interest of the equity repurchase price in a total amount of several hundred million RMB on behalf of the client by making the actual controller of the Sichuan company and their spouse assume the responsibility to repurchase the target equity.
We advised a green fund on its comprehensive improvement PPP project in the Pihe River Basin of Xindu District, Chengdu City, Sichuan Province and carried out due diligence on the project and the project company and negotiated and drafted the project agreements.
We represented an EPC contractor in the grading of its national EPC qualification in a breach of contract lawsuit filed against a real estate development company and its HK parent company, over a construction project. JunHe won the judgment which declared that the client was entitled to a contract payment amounting to hundreds of millions of RMB and was granted a priority right to be repaid regarding the discounted or auctioned price of the project in dispute. The team’s lawyers protected the rights and interests of the client to the greatest extent through superb representation in the litigation and judgement.
We advised Powerchina Roadbridge Group on its investment in various highway projects in the southwest of China, including the Sichuan Cheng An Yu Expressway BOT Project, the Chongqing Jiangxi Expressway BOT Project and the Yunnan Yuxi Jiangtong Expressway BOT Project. JunHe assisted the client in bidding for the project, the execution and change of the investment and concession agreements, and the review and modification of the design supervision. They assisted in the contracting, the design of the financing contract and dispute resolution.
