JunHe Assists Shanghai Rural Commercial Bank in its Listing on the Main Board of the Shanghai Stock Exchange

On August 19, 2021, Shanghai Rural Commercial Bank Company Limited (hereinafter referred to as "Shanghai Rural Commercial Bank" or the "Company") was listed on the Main Board of the Shanghai Stock Exchange (stock code 601825). The Company issued 9,64.44 million A shares at RMB 8.90 per share, raising approximately RMB 8.584 billion.


Inheriting a proud 70+ year history, Shanghai Rural Credit Bank was restructured and established in 2005, making it the first joint-stock commercial bank in China. For over 16 years, Shanghai Rural Commercial Bank has continued to expand, hand in hand with its customers.


JunHe has been providing legal services for Shanghai Rural Commercial Bank since 2005, including through its restructuring and establishment phase and its strategic shareholding with ANZ Bank. It has provided perennial corporate governance and been involved in other projects for the Company. JunHe has acted as the issuer's attorney in this project since October 2018. The successful listing shows the advantages of serving a company for many years and relied on the close cooperation JunHe had with the issuers and the other intermediaries. The acceptance of the listing application materials by the China Securities Regulatory Commission were completed within nine months. JunHe provided Shanghai Rural Commercial Bank with high quality and efficient legal services and successfully solved a series of complex and difficult problems which included shareholders checks, equity regulation, asset right verification, and regulatory compliance. JunHe  actively assisted the Company in obtaining approval and consent from the Shanghai Municipal People's Government, the State-owned Assets Supervision and Administration Commission of Shanghai Municipality, the China Banking and Insurance Regulatory Commission (CBIRC) Shanghai Bureau and the China Securities Regulatory Commission (CSRC). The team prepared the application documents, communicated with the regulatory authorities, replied to feedback questions and assisted in the examination of special questions and other key matters.


JunHe’s professional ability, rigorous and efficient work style, and rich experience in solving difficult problems was recognized and highly praised by Shanghai Rural Commercial Bank and the other intermediaries.
