JunHe Assists Viva Biotech’s Offshore Subsidiary to Successfully Issue US $180 million Convertible Bonds

As the PRC counsel of the Issuer, JunHe assisted Viva Incubator Investment Management Limited (the “Issuer”), a wholly-owned subsidiary of ViVa Biotech Holdings (stock code 1873.HK, “ViVa Biotech”) in its issue of US $180 million secured convertible bonds, and the project was successfully closed on February 11, 2020.


ViVa Biotech is a Chinese leading contract research organization (CRO) and operates a world-leading structure-based early stage drug discovery technology platform and a systematized, scientific and modular incubation platform with high technical barriers. ViVa Biotech processes multiple world-leading technologies and has developed an innovative business model, which combines the traditional “cash for service” (CFS) model with its unique “equity for service” (EFS) model. Under the EFS model, ViVa Biotech provides drug discovery and/or incubation services to select clients and promising biotechnology companies in which they invest in exchange for equity or economic benefits from such clients. ViVa Biotech became successfully listed on the Main Board of the Stock Exchange of Hong Kong on May 9, 2019, and JunHe had acted as the PRC legal counsel of ViVa Biotech in its Hong Kong listing project.


In this Project, JunHe continued to serve as the PRC legal counsel to the ViVa Biotech as the issuer, and assisted the company in applying for and completing the foreign debt filing and registration with the NDRC and completed, in a very short period of time, quality and efficient PRC legal due diligence, demonstration of relevant legal issues, review and amendment of issuance documents, issuance of PRC legal opinions and other related specific work. JunHe had provided the Company with full legal services in respect of the PRC law issues in relation to this Project.


In the process of this project, coinciding with the Chinese New Year as well as the adverse impact of the coronavirus outbreak, JunHe actively communicated and cooperated with all parties to assist the project to be completed as scheduled.
