On November 23, 2022, the China Securities Regulatory Commission (“CSRC”) approved the private offering of shares (the “Private Offering”) by Jinko Power Technology Co., Ltd. (“Jinko Power”, stock code: 601778). Jinko Power intended to raise up to RMB 2,996.9 million (including offering costs) through the Private Offering. The funds raised will be used to develop and construct related PV power generation projects, provide additional working capital or repay bank loans. On February 17, 2023, Jinko Power disclosed the Report on the Private Offering of A Shares by Jinko Power Technology Co., Ltd. in 2022. According to the Report, 676,501,128 shares were issued in the Private Offering and a total amount of RMB 2,996,899,997.04 was raised. On February 24, 2023, the new shares issued in the Private Offering were registered under the names of the investors.

Jinko Power’s primary business includes the operation, transfer and EPC of PV power plants, covering the development, investment, construction, operation, management and transfer of solar PV power plants, as well as PV power plant EPC projects and comprehensive service solutions for the operation of power plants. The operation of PV power plants has been the core business of Jinko Power since its inception, and the company occupies a leading position in the industry.

Before advising Jinko Power on the Private Offering, JunHe advised the company on its IPO on the main board of the Shanghai Stock Exchange, its post-IPO issuance of convertible corporate bonds, its issuance of 2020 and 2021 corporate bonds, and its overseas issuance of green dollar bonds. In the Private Offering, JunHe conducted legal due diligence on Jinko Power and its subsidiaries, issued lawyer’s work reports, legal opinions and other documents, assisted in responding to CSRC’s feedback, and witnessed the book building of the Private Offering.
