XPeng Inc. (“XPeng” or the “Company”) successfully completed IPO on the New York Stock Exchange (“NYSE”) under the symbol “XPEV” on August 27, 2020 EST. At the price of US $15 per share, XPeng issued approximately 114.69 million American Depositary Shares (including over-allotment), raising approximately US $1.72 billion in total, making it the IPO project with the highest pricing and the largest aggregate financing in the IPO history of new energy vehicle companies in the world.

JunHe acted as the Chinese legal counsel for the underwriter, assisting the successful completion of the IPO within only 4 months. JunHe provided quality, prudent and efficient legal services in a very tight schedule, overcame difficulties caused by COVID-19 epidemic, and successfully assisted the underwriter in conducting overall domestic due diligence investigation, coordinating and participating in offline visits and online interviews, reviewing various transaction documents, applications and offering documents related to the listing. We also assisted in responding to SEC’s questions concerning PRC laws, issued PRC-law-related legal opinions, and finally helped XPeng list on NYSE.
