Recently, JunHe acted as the PRC and US legal counsel for the underwriter and assisted Macrolink Group Limited (“Macrolink Group”) in issuing USD 44 million of offshore insurance through its BVI subsidiary. Macrolink Group provided guarantees for the issuance of the bonds, which were listed on the Singapore Exchange.
Macrolink Group was founded in October 1990 and after 29 years of continual development, the group has established a solid presence across many sectors including real estate, mining, petroleum, chemical engineering, investment,finance, ceramics and wine. In 2018, its total assets exceeded 130 billion Yuan, with a turnover of 95.296 billion Yuan and taxation revenue of over 5 billion Yuan. It owns over 100 enterprises including 12 publicly listed companies. The group boasts over 10 renowned Chinese brands, such as Macrolink Culturaltainment, DongYue Refrigerants, Jinliufu Liquor, Hualian Ceramics, Shangrila zangmi and Red Imperial Kiln. It holds over 6000 patents and employs more than 70,000 people. The group has ranked among the ‘Top 500 Chinese Companies’ and the ‘Top 100 Chinese Private Companies’ for 14 consecutive years.
JunHe’s Beijing, Hong Kong and New York offices worked closely together and acted as the PRC and US legal counsel for the underwriters, providing their clients with efficient and quality service. JunHe’s PRC counsel conducted the basic legal due diligence on the Macrolink Group and issued Chinese legal opinion for the project. They also reviewed and revised the transaction documents, and provided full legal services for the relevant Chinese legal issues. JunHe's US legal advisory team drafted a full set of transaction documents for the bond, participated in the negotiation and modification of the transaction documents, arranged the delivery, and provided full legal services with regard to the US legal issues involved in the project.
