Recent Representative Cases

1. In May 2017, BOCOM International Holdings Company Limited, a subsidiary of the Bank of Communications, launched a public listing on the Hong Kong Stock Exchange (HKEX), making it the first Chinese bank broker to be independently listed on that exchange. As the Chinese legal counsel for the joint sponsors and underwriters in this project, JunHe Guangzhou provided assistance in exploring the solutions for issues including the spin-off listing, completed legal due diligence in China, supported the sponsors in due diligence interviews with governmental departments and third parties, reviewed and revised the prospectus and IPO-related transaction documents, and issued various legal opinions.

2. JunHe represented the Huishan Dairy Group in their debt restructuring. In the course of one day, March 24, 2017, the HKEX share price of Huishan Dairy fell by 85%, leading to a more than HK$30 billion reduction in value, further igniting a debt crisis among its affiliates at home and abroad. As legal counsel for Huishan Dairy Group, JunHe helped guide the Group through the crisis, identifying assets and liabilities based on multiple sources, providing the member companies with plans for their communication with creditors, drawing up contingency plans to deal with a range of possible events, offering solutions to litigations and disputes involving the companies, and discussing the restructuring plan from different perspectives. Through the joint efforts of JunHe, Huishan Dairy Group and other intermediaries, the Huishan Dairy Group was able to survive the crisis, eventually attaining stability in production and operations, and a positive cash flow.

JunHe is the only Chinese law firm to be admitted as a member of Lex Mundi and Multilaw, two international networks of independent law firms. JunHe and selected top law firms in major European and Asian jurisdictions are “best friends.” Through these connections, we provide high quality legal services to clients doing business throughout the world.
